1. Incorporation of the entity as an LLP: Name of the LLP will be registered after filing the requisite forms.
2. Obtaining PAN: A PAN is a 10 digit alpha numeric identification number, issued by the Income tax department of India.
3. Obtaining DIN: All designated partners of an LLP should first obtain Designated Partner Identification Number (DPIN). eForm DIN-1 will be filed in order to obtain DPIN.
4. Obtaining TAN: TAN is a ten digit alpha numeric number which is mandatory for a person responsible for deducting tax at source or collecting tax on behalf of Income Tax Department.
5. Obtaining DSC: Digital Signatures are used on documents to file them electronically in a secure and authentic way. As such, all filings done by the LLP(s) are required to be filed with the use of Digital Signatures by the person authorised to sign the documents. DSC will be obtained from a licensed Certifying Authority (CA) and will be registered on the MCA portal.
Advantages
1. An LLP is easy to form and does not involve much costs.
2. Like a company, an LLP has an identity distinct from its partners. LLP will be known by its name and not by the name of its partners.
3. In an LLP liabilities of its partners is limited and their personal assets are not used to pay off the liabilities of the partnership. Also, a partner is not responsible for the acts of the other partners of the LLP.
4. An LLP enjoys the advantage of a distinct legal entity like a company. The partners in an LLP are at liberty to manage it as per their LLP Agreement.
5. In case of LLP, it being an incorporated entity, raising loans from market and financial institutions are easier.
6. As there is a annual turnover threshold for a compulsory audit, an LLP is very suitable for small businesses.
Disadvantages
1. As the LLP Agreement is compulsorily registerable, you need to spend time and effort on drafting a comprehensive document.
2. The LLP Act does prescribe penalties for non compliances on procedural matters such as delay in filing of e-forms, periodic filing of documents etc.
3. Whenever a new partner is admitted to the firm, the supplementary agreement containing details of new partner and his contribution has to be created and then accordingly, the existing partners need to revise or change the contribution held by them.
4. Any foreign direct investment in an LLP is subject to Government/FIPB approval.

Did You Know
1. In case you already have a DIN (Director Identification Number), the same can be used as a DPIN.

5. Every LLP should have have atleast two Designated Partners and at least one of the Designated Partner should be a resident of India..
6. The name of the LLP should end with either ‘Limited Liability Partnership or ‘LLP’ only.
7. The approved name of LLP will be valid for a period of 3 months from the date of approval.
8. An existing partnership or an existing private/unlisted public company can be converted to an LLP.
