“One Person Company” means a company which has only one person as a member. This product entails:
1. Obtaining DIN: The Directors of a company necessarily need a Director Identification Number (DIN). To that effect, e-Forms will be filed and DIN will be obtained through the MCA Portal.
2. Obtaining DSC: Digital Signatures are used on documents to file them electronically in a secure and authentic way. DSC will be obtained from a licensed Certifying Authority (CA) to enable e-Filing of all the incorporation documents.
3. Incorporation: Following steps will be followed in order to complete incorporation.
a. DIN and DSC will be obtained through the MCA portal.
b. Ascertaining name availability from ROC through Form INC-1.
c. Draft Memorandum Of Association and Articles Of Association.
d. After name approval, form INC-2 shall be filed for incorporation of the OPC within 60 days of filing form INC-1.
e. Form DIR-12 shall be filed along with (linked) form INC-2 except when promoter is the sole director of the OPC.
f. Filing form INC-22 within 30 days once form INC-2 is registered in case the address of correspondence and registered office address are not same.
4. Obtaining PAN.
5. Obtaining TAN.
Advantages
1. Limited liability of its shareholder.
2. Easy for sole proprietors to raise external financing as an OPC.
3. Even though it is a company incorporated under the Companies Act, it does not have as many compliance requirements as a private or a public limited company under the Act.
Disadvantages
1. Only a natural person who is an Indian citizen and resident can be a member of an OPC.
2. An OPC cannot be incorporated or converted into a not for profit company under Section 8 of the Act.
3. An OPC cannot carry out Non-Banking Financial Investment activities including investment in securities of anybody corporate.
4. An OPC needs to compulsorily convert to a private or public limited company if the paid-up capital of the OPC crosses Rs.50 Lakhs or the average annual turnover during the relevant period exceeds Rs.2 Crores.

2. The Incorporation shall be done with an initial Share Capital of Rs.1, 00, 000 (Rupees One Lakh Only)

Did You Know
1. Only a natural person, who is an Indian citizen and resident in India shall be eligible to incorporate a One Person Company (OPC). The term "Resident in India" means a person who has stayed in India for a period of not less than 182 days during the immediately preceding one calendar year.
2. The only shareholder should nominate another natural person (who is a citizen of and resident in India) who will become the shareholder in case of the former’s death or incapacitation.
3. An OPC must have a minimum of 1 Director, the sole shareholder can himself be the sole Director. An OPC may have a maximum number of 15 directors.
4. A person shall not be eligible to incorporate more than a One Person Company or become nominee in more than one such company.
5. If the paid-up capital of the OPC crosses Rs.50 Lakhs or the average annual turnover during the relevant period exceeds Rs.2 Crores, then the OPC has to convert to a private or public limited company, with in a period of 6 months.
